Terms & Conditions for Core & Form

 

This Terms & Conditions document summarizes the essential rules for working with Core & Form. By engaging our services or using our website, you agree to these terms.

 

1. Brand Consultations

  • Non-Refundable: Payments for brand consultations are strictly non-refundable.
  • Cancellation Policy: If you cancel or reschedule a consultation with less than 24 hours’ notice, only 50% of the fee will be refunded to cover the reserved time.

2. Payments & Deposits

  • Deposits: A 50% deposit is required before work begins. Deposits are non-refundable and secure your place in our calendar.
  • Payment Terms: Invoices must be paid within 30 days of issue unless otherwise specified.
  • Late Payments: Overdue accounts may incur interest at 5% per month.
  • Project Pauses: If a project is paused for more than 60 days, a 10% reinstatement fee applies, and pricing may be adjusted.

3. Client Responsibilities & Revisions

  • Assets: You agree to provide all necessary copy, photography, and login details in a timely manner.
  • Feedback: Please provide feedback within 2 business days to keep the project on schedule.
  • Scope: Projects include a defined revision allowance. Additional edits outside the agreed scope are billed at €140 per hour.

4. Typography & Licensing

  • Commercial Rules: Any fonts or typefaces used in the final design are subject to commercial licensing rules.
  • Client Responsibility: Font licenses are not included in project fees; the Client must obtain the appropriate licenses for use beyond static final deliverables.
  • Logo Files: Fonts used in a logo file generally do not require separate licensing as characters are converted to vector outlines.
  • Editable Text: If you wish to use the typeface for editable text (website, print, or templates), you must purchase your own desktop/web license.

5. Ownership & Intellectual Property

  • Transfer of Rights: Ownership of final deliverables transfers to you only after full payment has been completed.
  • Unused Concepts: All sketches, drafts, and unused concepts remain the property of Core & Form and may be reused or resold.
  • Portfolio Rights: Unless agreed otherwise, we reserve the right to showcase finished work in our portfolio and social media.

6. Cancellation & Conduct

  • Termination by Client: If you cancel mid-project, you must pay for work completed plus a 15% cancellation fee of the remaining balance.
  • Professional Conduct: Abuse, harassment, or hostile behavior will result in immediate termination of the contract with no obligation to refund completed work.
  • Non-Disparagement: Neither party may publicly defame, discredit, or harm the reputation of the other in reviews or public spaces.

7. Liability & Governing Law

  • Naming & Trademarks: You are responsible for ensuring your business name is legally available. Core & Form does not provide legal advice regarding trademark protection.
  • Force Majeure: Neither party is liable for delays caused by events outside their reasonable control, such as natural disasters.
  • Jurisdiction: These terms are governed by the laws of Ireland.
